Terms of Service

Effective Date: March 1, 2026

1. Acceptance of Terms

By accessing or using Grove (available at groveleaders.com and through the Grove mobile application), you agree to be bound by these Terms of Service ("Terms"). If you are using Grove on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include both you individually and that organization.

If you do not agree to these Terms, do not use Grove.

2. Description of the Service

Grove is a mobile-first leadership development and employee engagement platform. It provides:

  • Daily coaching tasks for managers, designed to build consistent leadership habits through structured, time-boxed activities.
  • Daily pulse surveys for employees, delivered as short anonymous check-ins that surface team engagement data to managers and HR administrators.
  • Engagement reporting for HR administrators, including team-level heatmaps, trend reports, and PDF engagement reports generated from the Company Engagement Survey.
  • A reward system that recognizes consistent participation through points, streaks, virtual garden items, mystery boxes, and mini games.
  • The Company Engagement Survey, a standalone web-based diagnostic tool that HR administrators can distribute to their workforce without requiring employee accounts.

Grove is offered as a free individual tier for managers and as a paid enterprise tier for organizations that want HR-level reporting and company-wide deployment. The specific features available at each tier are described on the Grove pricing page, which may be updated from time to time.

3. User Accounts

3.1 Account Creation

To use most Grove features, you must create an account with a valid email address and a password. You agree to provide accurate, current, and complete information during registration and to keep that information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify Grove immediately at hello@groveleaders.com if you suspect unauthorized access to your account. Grove is not liable for losses resulting from unauthorized use of your account that occur before you notify us.

3.3 User Types

Grove recognizes three account roles:

  • Employee accounts: Created by or on behalf of employees to participate in daily pulse surveys and receive rewards.
  • Manager accounts: Granted access to coaching tasks, team engagement data (subject to anonymization thresholds described in Section 7), and the reward system.
  • HR Administrator accounts: Granted access to company-wide engagement reports, the Company Engagement Survey admin tools, and organizational settings.

3.4 Account Eligibility

Grove is intended for use by individuals who are at least 18 years old and are using the platform in a professional or workplace context. By creating an account, you represent that you meet this requirement.

4. Acceptable Use

You agree to use Grove only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

  • Use Grove in any way that violates applicable federal, state, local, or international law or regulation.
  • Attempt to gain unauthorized access to any part of Grove, its servers, or any system or network connected to Grove.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Grove.
  • Introduce viruses, malware, or any other harmful code into the platform.
  • Use Grove to harass, threaten, or harm any individual.
  • Scrape, crawl, or systematically extract data from Grove without express written permission.
  • Circumvent any anonymization, aggregation, or access-control mechanisms built into the platform, including attempting to identify individual survey respondents.
  • Misrepresent your identity, role, or organizational affiliation when using Grove.
  • Use Grove to collect or store personal data about other users beyond what the platform expressly permits.

Grove reserves the right to investigate suspected violations and to suspend or terminate accounts where violations are found, without prior notice in cases that pose immediate risk.

5. Payment and Subscription Terms

5.1 Free Tier

Individual manager accounts may use Grove at no charge subject to the feature limitations of the free tier. Free-tier features may be modified or discontinued at any time, with reasonable notice.

5.2 Paid Enterprise Plans

Organizations that purchase an enterprise subscription ("Subscribers") will be billed through Stripe or another payment processor designated by Grove. By subscribing, you authorize Grove to charge the payment method you provide on a recurring basis at the frequency (monthly or annual) selected at checkout.

5.3 Pricing and Changes

Current pricing is posted on the Grove website. Grove may change subscription prices at any time, but will provide at least 30 days' advance notice before any price change takes effect for an existing subscription. Your continued use of the paid service after the effective date of a price change constitutes acceptance of the new price.

5.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting hello@groveleaders.com. Cancellation takes effect at the end of the current billing period. Grove does not provide prorated refunds for unused time in a billing period, except where required by applicable law.

5.5 Refunds

All fees are non-refundable except as expressly stated in these Terms or as required by law. If you believe you have been charged in error, contact hello@groveleaders.com within 30 days of the charge.

5.6 Taxes

You are responsible for any applicable taxes, duties, or levies arising from your use of Grove. If Grove is required to collect taxes on your subscription, those amounts will be added to your invoice.

6. Reward System

6.1 Nature of Rewards

The Grove reward system includes virtual points, streaks, mystery boxes, mini games, and virtual garden items (collectively, "Rewards"). All Rewards are:

  • Virtual only. Rewards exist solely within the Grove platform and have no existence outside of it.
  • Non-monetary. Rewards have no monetary value and do not represent any form of currency, property, or financial instrument.
  • Non-transferable. Rewards may not be sold, traded, or transferred to any account other than as the platform expressly permits.
  • Not redeemable for cash. Under no circumstances may Rewards be exchanged for real-world money, goods, or services outside of the Grove platform.

6.2 Earning and Spending Rewards

Points are earned by completing coaching tasks, submitting pulse survey responses, and maintaining activity streaks. Points are spent in the Grove Marketplace on virtual garden items. The point values, multipliers, and available items are determined by Grove and may be adjusted at any time.

6.3 Forfeiture

Grove may reset, modify, or revoke Rewards at any time, including upon account termination, extended inactivity, or violation of these Terms. You have no vested right in any accumulated Rewards.

6.4 No Gambling

The mystery box and mini game mechanics are designed as entertainment and habit-reinforcement features. They do not constitute gambling. No real money is wagered, and no real-world prize is awarded.

7. Company Engagement Survey and Anonymization

7.1 What the Company Engagement Survey Is

The Company Engagement Survey is a standalone, web-based diagnostic tool that HR administrators can distribute to employees via a shareable link. Employees complete the survey without creating a Grove account. HR administrators receive a separate admin token that provides access to aggregated results and a PDF engagement report.

7.2 Anonymization of Survey Responses

Grove is designed so that individual survey responses are never disclosed to any manager, HR administrator, or other user. All survey data is aggregated and reported at the team or organizational level only. Specific protections include:

  • 5-response threshold. Survey results for any group are not surfaced until at least 5 responses have been collected. This threshold exists to prevent reverse-identification of individuals from small samples.
  • No individual-level reporting. The PDF engagement report and all in-app dashboards display aggregated scores only. No feature within Grove shows how any individual employee answered any survey question.
  • Red flag items. Certain questions are designated as red flag indicators. When triggered, these are reported as organizational signals only, not attributed to any individual.

7.3 Pulse Surveys

The same 5-response threshold applies to the in-app daily pulse survey. Managers do not see team-level pulse data until the threshold is met. Individual responses to pulse surveys are never shown to managers or HR administrators.

7.4 HR Administrator Obligations

HR administrators who access engagement report data agree to use that data solely for legitimate workforce management and organizational development purposes. Attempting to identify individual respondents, sharing report data with parties outside the organization, or using report data in employment decisions in ways that circumvent anonymization are prohibited uses.

8. Intellectual Property

8.1 Grove's Ownership

Grove and all of its content, features, and functionality, including but not limited to the software, design, text, graphics, coaching task content, survey question content, scoring methodology, and the reward system, are owned by Grove and are protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

The data you submit, including survey responses and task completion records, is used to operate the service and generate reports as described in the Grove Privacy Policy. You grant Grove a limited license to process and use the data you submit for the purpose of providing the service to you.

8.3 Feedback

If you submit suggestions, ideas, or feedback about Grove, you grant Grove a perpetual, royalty-free, worldwide license to use that feedback without any obligation to compensate you or keep it confidential.

9. Data Handling and Privacy

The Grove Privacy Policy describes how Grove collects, uses, stores, and protects personal data. By using Grove, you acknowledge that you have read and understood the Privacy Policy. Grove does not sell personal data to third parties.

10. Disclaimer of Warranties

Grove is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Grove disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Grove does not warrant that its coaching content, engagement reports, or any recommendations generated by the platform will produce any particular outcome for your organization or team.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Grove and its owners, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use Grove. Grove's total cumulative liability to you for any claims arising from these Terms or your use of the service will not exceed the greater of (a) the amount you paid to Grove in the 12 months preceding the claim, or (b) one hundred dollars ($100.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless Grove and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from: (a) your use of Grove in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) any misuse of the Company Engagement Survey or engagement report data by you or your organization.

13. Third-Party Services

Grove integrates with third-party services, including Stripe for payment processing. These services are governed by their own terms of service and privacy policies. Grove is not responsible for the practices or content of any third-party service.

14. Termination

14.1 Termination by You

You may close your account at any time by contacting hello@groveleaders.com. Closing your account does not entitle you to a refund of any prepaid subscription fees.

14.2 Termination by Grove

Grove may suspend or terminate your account at any time for cause, including violation of these Terms, non-payment, or discontinuation of the service. Grove will provide reasonable advance notice where practicable, except in cases involving a material breach or immediate risk of harm.

14.3 Effect of Termination

Upon termination, your right to access and use Grove ceases immediately. Sections 6.3, 8, 10, 11, 12, and 15 of these Terms survive termination.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute arising from or relating to these Terms that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

Before initiating any formal dispute, you agree to contact Grove at hello@groveleaders.com and attempt to resolve the issue informally for at least 30 days.

16. Changes to These Terms

Grove may update these Terms from time to time. When changes are made, Grove will post the revised Terms at groveleaders.com/terms and update the effective date at the top of this page. For material changes, Grove will provide at least 14 days' advance notice via email or an in-app notification. Your continued use of Grove after the effective date of any revised Terms constitutes your acceptance of the changes.

17. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any executed Data Processing Agreement, constitute the entire agreement between you and Grove regarding the subject matter herein.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

No Waiver. Grove's failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
